[NEWS] 130910 SM Entertainment Teams Up with Samsung for Social Contribution

Korea’s top-tier entertainment agency SM Entertainment is set to join forces with the country’s biggest enterprise Samsung to contribute to society.

SM had agreement ceremony with Samsung about cooperation in social contribution business at Samsung’s Seoul office Tuesday afternoon, with Lee Soo-man, the chairman of SM Entertainment, Seo Joon-hee, the president of Samsung Corporate Citizenship, Kim Young-min, the representative of SM as well as SM artists U-Know Yunho of TVXQ! and Sulli of f(x) in attendance.

Titled as S Cube, meaning that SM and Samsung makes better society together, the brand suggests the new model of an enterprise’s social contribution by combining SM’s contents producing abilities and Samsung’s social contribution platform, SM explained in a press release sent the same day.

As its first step, SM is going to set up specialized study facilities which will enable low-income children to study music and dance by not only SM’s employees but its singers, songwriters and producers, the major agency pointed out.

The two giant firms are also going to connect SM artists’ overseas concerts in China and other Asian countries with Samsung’s supporting business for multicultural family.

Samsung will support the migrated females’ visit to their home countries, while SM will hire them as temporary interpreters for concerts on-site and also invite their families to the concerts, set to produce more programs for public welfare overseas.

Before the end of the year, SM will organize a volunteer group in which its employees and artists participate and continue volunteering activity in cooperation with Samsung.

SM Entertainment (CODE 041510) showed earning shock [economic performance shows a lot lower than expectation]. Its business profits in this third-quarter were below analysts’ estimated profit – which were less than half of estimated figure.

SM submitted its report of this quarter to the Financial Supervisory Service at 14:12 without any public announcement. According to the report, its business profits for third-quarter was 11.7 billion KRW. It was more than the last third-quarter, but a lot less than expectation of stock market. Analysts had estimated its third-quarter’s business profits to be 20~23 billion KRW.

The stock price responded immediately. It started to falling slowly right after its report, and hit the floor of the lower limit at 14:25.

Analysts at stock firms are in a state of confusion and it is known that a shower of enquiries and complaints are coming from institution investors. “We haven’t even seen the official report yet, but everyone is in panic as there are telephone calls without a break. We are not able to find out exactly why SM had such Earning Shock at the moment”, appealed a [anonymous] analyst at a firm.

It has been known that SM explained about the reason of this Earning Shock is because of a big production cost of TVXQ and Super Junior’s Arena Concerts. However, general experts insist that SM’s explanation cannot be an underlying reason. “There might have been some [serious] problems in the company because it is just too lower than expected” – commented another analyst.

SM insisted that TVXQ and Super Junior’s concerts were the reason of its bad economic performance, but it used to be considered as one of the most favourable factor of SM as most analysts estimated that “Its profits of the 3rd quarter will be  drastically increased because the results of the Arena Tour will be reflected in 3rd-quarter, not 2nd-quarter”, because about 1 million people were expected to come to the concerts in Japan in this half-year.

Due to SM’s Earning Shock, other entertainment stocks turned into a sharp fall. YG Entertainment decreased by 13.86%, JYP Entertainment, PAN Entertainment and Chorokbaem followed by 4~8%.

SK Stock Firm added, “The reason of its sharp fall is caused from a lot of difference between the market’s estimation and actual business performance. The problem was that the production cost of TVXQ concerts which were known to attract half a million people became too high”.
“A company like SM, its estimated profit tends to be entirely depends on what the company says. How are we supposed to believe it in the future, after announcing less than half the business profits of the market’s expectation?”, commented a analyst at another firm.

- Entertainment stocks are more like ‘a house of cards’ in Korea, because so-called ‘K-POP invasion’ is actually inessential figure if you know how SM tried to exaggerate it by using media,  to make it as if  they conquered the world. (Think abt who is really conquering the world as a Korean singer at this moment! )

- Korean entertainments’ overstated media-fuss is directly related to their stock prices. They have to keep the price as much as they can, whatever it takes, with every possible way because only media-fuss can make people deluded by slick marketing.

- Therefore, it always could decrease drastically as soon as any reality is revealed. (well, which I welcome the most)

- Also it could reflect that there is no enough cash-flow at SM, based on the situation  that SM risks its neck to its stocks. (Actually SM is just lying in the court, insisting that it did nothing bad so cannot give a penny to JYJ for the compensation for damages from the lawsuit to clarify invalidity of its exclusive contract. -the compensation was set 3 billion KRW-. )

The big news to hit the entertainment world today is about the merging of 2 big companies that are home to well-known Korean stars. The said companies are non other than SM C&C and AM Entertainment. SM C&C is an affiliate of SM Entertainment that produce K-pop idols.
The association of these companies means that it will become home to top entertainers including Kim Ha Neul, Han Ji Min, Lee Soo Geun, Lee Byung Man, and many more. On top of this, two of the best Korean emcees and over-all entertainers namely Kang Ho Dong and Shin Dong Yeop are also in the list.
The merging of the said companies was confirmed by SM C&C and SM Entertainment on September 19th. According to Kim Young min, SM Ent. CEO, “SM C&C has merged with AM Entertainment, who’s stars like Jang Dong Gun, Kim Ha Neul and Han Ji Min aren’t just local superstars, but representatives of Asia. With the merge, we plan to greatly expand the acting management business and target the Asian market on a full-scale.”
He further added, “Through SM’s global network, AM Entertainment’s actors, and along with SM’s celebrities, we will ensure they will go beyond Asia to become internationally known actors.”

In the episode of SBS’s Go Show that aired on August 31, Lim Chang Jung, Kim Jung Nan, and Choi Daniel appeared as guests and the feature the episode with the title “Successful Story of Star Audition.”
When the emcee Jung Hyung Don asked Choi, “Why didn’t you wear glasses today?” Choi answered, “I don’t wear glasses because I have good eyesight with the ratings of 1.5. But people say that my character in the TV series look good in glasses, so I wear them.”

SM Entertainment recently opened the ‘S.M.ART Exhibition in Seoul.’
The exhibition, which will be held on August 10 through 19, presents new digital technologies combined with entertainment content and IT from SM Entertainment and global enterprises.
On August 10, the first day of the exhibition, TVXQ, Super Junior’s Shindong and Sungmin, and EXO visited the exhibition to help celebrate the opening. The stars appearance attracted many people to the exhibition and heated up the place with excitement.
The stars had a great time exploring the exhibitions with the other visitors. They said hello to their fans at the ‘S.M. History Zone.’ They also expressed their about the exhibition and drew a lot of attention.
In addition, TVXQ’s Yunho said, “I like the ‘S.M.ART Gallery’ the most. There are lots of unique works that were made by singers and I even wanted to take some home with me.” Super Junior’s Shindong said, “I’m surprised to see the huge exhibition and happy to attend it with so many people.” EXO-K’s Baekhyun said, “I think the exhibition will impress the people.”
SM Entertainment will go on the third world tour to hold the ‘SM Town Live’ concert starting on August 18 by holding a concert at Olympic Park in Seoul.

[NEWS] 120810 SM Entertainment and JYJ to have another trial in September

SM Entertainment and JYJ have failed to reach an agreement on the issues surrounding the members’ TVXQ contract.
The trial between SM Entertainment and the members of JYJ took place on August 10 at 4PM KST in Seoul Central District Court. SM Entertainment’s representative Kim Young Min, along with lawyers from both sides, were present to debate the issue. The members of JYJ were not present for this trial.
In the 1-hour-30-minute trial, each side expressed their sentiments to the court, and afterwards, both sides expressed their opinions to each other. This day, Representative Kim left the meeting to have a conversation with a lawyer in the waiting room. He met with reporters during the mediation and stated, “The court is still in trial so nothing can be said.
SM Entertainment and JYJ have been in trial since last May, going through a total of six hearings to reconcile their differences thus far. However, at the end of last year, both sides failed to reach an agreement and hearings have resumed. In May, both sides expressed their points during the hearing and waited for an official verdict, but the court advised a mutual adjustment so another trial date was issued.
However, the two sides have failed to meet a mutual agreement once again. JYJ’s lawyer told Star News, “The difference in opinion between the two sides is too largeAn agreement could not be reached so it was decided that another trial will take place around September 13th.
The lawyer continued, “SM Entertainment’s side is to ‘forget about the past’, and our side is to settle all the accounts and issues in court. Both sides diverge in opinion, but the court is encouraging a voluntary agreement or a mediation until a decision has been made.
After three years of both sides battling for an agreement, the chances of the court making the final decision have risen. When the SM Entertainment representatives exited the court, they answered the reporters’ questions saying, “There is nothing for us to say yet.
In 2009, JYJ stated, “[Please terminate the effects of our unreasonable exclusive contracts],” and filed a case. As the court accepted this, SM Entertainment filed a claim for compensation for damages in April of 2010. In February, the Seoul Central District Court dismissed both of SM Entertainment’s injunctions against JYJ.
After this recent hearing, it’s been confirmed that the exclusive contracts signed by both sides have been nullified, and that the decision to secure the individual entertainment activities of the JYJ members has been upheld.

[TOPIC] Idols, Twitter and Online Harrassment

Social media has always been a great tool for everyone — celebrities and regular folks alike — to communicate and share information. It might be a stretch to say this, but social media platforms like Facebook and Twitter allows us to share by posting as much information about ourselves as we want to the world that is the Internet, and provides a gateway for just about anyone to communicate and interact with us, whether we want to or not.

Creating Twitter accounts have slowly become a trend among Korean idols, allowing international fans a space to check the day to day lives of their idol of choice by following them on Twitter. Although these accounts are personal (as in it’s the actual idols tweeting, and not an intern writing on behalf of them) their accounts are not private, so it leaves their accounts open to follow by everyone, including their fans. For idols, this can be a way for them to update their fans on their day to day lives at their own discretion, and at the same time, the fans can get a chance to see a more relaxed side to their idols, to see how they are doing and perhaps hints to future projects. I personally follow a lot of idols on Twitter and I always like seeing selcas of an idol I’m worried about telling me that they’re doing fine and hilarious pictures of them with their bandmates, cats or turtles. It’s a way for idols to communicate with their fans and their fans to catch a glimpse of how their idols are and what they do, sounds harmless enough, right?


But seeing as these accounts are public, and taking how some fans act around their idols when they see their idols in real life, imagine how quickly these fans would follow their idols on Twitter and how it leaves the idols vulnerable to spam that could be considered the virtual equivalent to real-life fangirling. It also leaves them vulnerable to online harrassment from both self-proclaimed fans and anti-fans. I think we can all agree that continously posting  or messaging idols on Twitter can be considered harrassment, regardless if it’s laden with “love” for the idol or “hate” for the idol. I don’t necessarily like both kinds of messages, but I feel like the intention does matter.
It’s one thing to spam an idol love message, and another to verbally abuse them on the Internet. But surprisingly, from what I’ve seen, is that idols seem to having more of a problem with fans being a little too overzealous, over verbal abuse from anti-fans. On another level, are the sasaeng fans, who take fangirl/boying to a whole new level, causing Twitter to be another place for idols to harrassed and stalked.
But shouldn’t this be expected? Seeing how fans act towards idols in real life, I’m not surprised this behaviour is continued online. Shouldn’t idols expect this from fans? I think the consensus stands that idols don’t deserve this level of harrassment, regardless of where it comes from. Even if the accounts are technically public, it’s still a personal account in terms of content.
You can’t blame idols for trying to reach out to their fans through Twitter. But this doesn’t give fans free reign to harrass idols online, just because they do the same thing offline. I find all forms of harrassment to be deplorable, especially in an online context, seeing that the level of anonymity that the Internet provides people. Anyone can make a Twitter account and create their own username, some even taking the names of idols. I can’t count how many times I’ve seen idols create nonsensical usernames because their real names have been taken by fans. Therefore, they use this mask to become more vocal and blunt about their opinions, regardless of how devestating their words can be, some even take pleasure with saying harmful words because they won’t face any real life reprecussions.
However, there are times when they do face real-life repercussions. Take Sohee, for instance. Her twitter was sent malicious tweets to the point where JYP had to step up and threaten the user with defamation and a lawsuit. The sadder thing is that this person claimed to be a fan of Sohee and was only declaring his love for Sohee in the form of sexually perverse tweets  and mentions as if he and Sohee had a relationship together. This is clearly the work of a very delusional fan, and the kind of fan that scares as much as, if not more, than a staunch anti-fan. This may be the result of how personable Twitter is and makes it seem like an idol is tweeting to you, rather than at you, which may result in some fans with already warped perceptions of their idols to take them further through Twitter.
Harrassment is harrassment, and I really feel for the idols that have to go with this, especially when they have to deal with it on a regular basis of harrassment. Sometimes, it gets too much to handle that idols have to leave Twitter, which is really sad. Keep in mind again that these Twitter accounts are their own personal accounts, which is they use to interact with people they know, at the same time as their fans. So once they close their accounts, they lose a way to chat with their friends and family because of fans, who wouldn’t normally connect with due to their hectic schedules.

It was sad to see Heechul have to close his Twitter comment, undoubtably because of the off-line and online harrassment he recieves, and see Yoochun debating whether or not to close his Twitter account. I take pleasure in seeing my biases posting and updating us fans on what’s going with them, and it feels a lot better to see news and information coming from them rather than sasaeng fans.

I really wish that some of them–in the venerable words of Jaejoong–could stay strong against the online harrassment but sometimes, it’s just too much. You can try to block these followers, but once it’s becomes a recurring thing, with many followers, and some of them might become offended by the idols and try to ruin their image by defaming them online, I think the best and PR-safe thing for an idol to do is close their Twitter accounts.
It’s isn’t a surprise that this behaviour is happening on the Twitter accounts for idols, and I’m sure that idols are well aware of that fact too. They have to face this treatment on a regular basis, and as much I want to raise a magic wand and end this harrassment, it comes with being an idol. But this does not by any means validate this behaviour. Idols and their companies have to address to fans that online harrassment of all kinds if not okay and should stop. I wish there were a clearer set of laws in South Korea on both offline and online harrassment in general; idols and their companies should give fair warning to fans that this behaviour isn’t tolerated by them and if it persists, they can just close their accounts altogether.

Initially on the schedule chart, the Mini Fan Meeting was marked for 18 August afternoon, at the Jamsil stadium.

As the concert was to take place from 17:30 at the Jamsil stadium as well, the time for the fan meeting was suggested from 13:00 to 15:00. (Although the fan meeting is scheduled for 1 hour and 30 minutes, the total duration time is expected 3 hours, including the time for preparation.)

Considering the weather conditions in August, we had to put the safety of the fans as top priority as there may be cases of heatstrokes and dehydration. In addition, it would be better to adjust the timing so that the artists are able to perform in their best conditions for the fans.
This is why the fan meeting was changed to the night time, after the official rehearsal in the evening. Please kindly understand that this change was made with regard to the safety of the fans and the perfect showcase of the concert.

Prior to our ‘Ode to Joy’ soon, I’m pleased to post SM’s history of Losing as SM is due to add another case on its losing history.  You’ll realise how pathetic this company is as this slave contract issue has been continued for more than 10 years, but the company still insists that its contract has no problems.
It’s a blessing that our JYJ members don’t belong to such company, and they will not ever be there again. XD
<July 28, 2002>
Fair Trade Commission Korea ordered 8 companies including SM to correct their unfair actions and imposed penalty surcharge(900Milion KRW)
- 8 companies including SM had founded the company called ‘I-KPOP’ together and sold their albums only through this company [illegal sole distribution] so that occupied 53.9% of total album market.
- Especially FTCK exposed that SM made unfair contracts with the members of H.O.T, Fly To The Sky and other artists. The contracts contained the clauses saying ‘an artist must pay 3-5 times as much amount as the estimated profits plus 50 milion-100 million KRW when he/she cancels the contract’.
(Can you see such similarity to the contract that JYJ is fighting against? SM has been doing this for more than decades.)
Funny thing is, SM filed a lawsuit for nullity against the above decision of FTCK. 
Shall we see what the High Court decided?

Seoul High Court ruled against SM, saying “The corrective order that FTCK ordered against SM’s contracts which force its artists to pay excessive penalty was a RIGHT ORDER”.

Seoul Central District Court sentenced Soo Man Lee to 2 years in prison with 3 years of probation on charge of embezzling 1.15 billion of company funds.

SM’s model Min Ho You won a lawsuit to clarify invalidity of exclusive contract against SM Ent.

- Quoted from the Seoul Central District Court’s ruling
“The clauses regarding compensation for damages and the terms of the contract infringe the plaintiff(Min Ho You)’s economic freedom too much, therefore, the contract is invalid by the article 103 in the Civil Law** which defines ‘an action violates public morals and orders is invalid’.”
“Terms and compensation for damages are essential parts of an exclusive contract, so whole of this contract should be invalid because those key parts are invalid.”
“The defendant(SM)’s insists cannot be justified because an investor[SM] must take a risk of investment, also high profits are expected when high-risk business is successful even if it takes a lot of money and time for training.”
“The amount of compensation for damages is too excessive as well as it gives too much financial burden to the plaintiff whereas there is no compensation for damages if the defendant violates the contract, therefore this contract has immoderate imbalance between the rights and duties of the both parties.”

Fair Trade Commission ordered SM to correct its slave contract
(poor FTCK.. I can’t even count how many times FTCK ordered the same things now..)

-  SM actor Ji Hoon Kim notified SM about cancellation of unfair exclusive contract on Dec 2004 and the both were having disputes for a long time (almost 3years) at the court.
– His contract stated that 1) the terms of contract was 5 years from the date of his first appearance as a feature player and first album releasing date, and 2) he must pay 5 times as much amount as the total invested money plus the total estimated profits for the remaining period of the contract plus additional 100 million KRW.
- FTCK intervened in this case and ordered SM to correct its contract regarding unfair amount of compensation for damages and long terms.
<October 27, 2009>
Seoul Central District Court approved the 3 members of TVXQ’s application for injunction to terminate exclusive contract.

- Quoted from the ruling from the court
“The above-stated exclusive contract which mainly contains long terms and excessive amount of compensation for damages infringe economic freedom and basic human rights too much because the management company exercised unfair domination and imposed inordinate benefits in return and unfair responsibilities on its artists by abusing its prominent position.”
“This is an action that violates public morals and orders, therefore, there is a possibility that the validity of the all/parts of the clauses on the contract are invalid or subject to lapse as the reasonable period of existence has been expired.”
“The respondent[SM] MUST NOT 1) make or negotiate any contracts against the applicants[Jaejoong/Yuchun/Junsu]’ wills related to their entertainment activities such as appearances in broadcasting/movies, concerts, production of albums and other entertainment events with any third parties, 2) raise an objection to broadcasting companies, album labels, production agencies and other third parties regarding the applicants’ entertainment activities that the respondent is not involved and 3) interfere their entertainment activities by requesting any third parties to break relationships and other way until the decision for ruling of the lawsuit on the merits is finalised.”

- Legal expert Chan-Jong Park commented on this slave contract as:
“SM took an enormous profit by abusing the members’ weak position as minors/trainees and making unfair contract. The company bound the members of TVXQ by maximum 13 years of contract which can be considered ‘lifetime employment’ when they were minors(under 19 years old), did not show the original written contracts to them and share the profits unfairly (ex: the members only could receive 10 million KRW for the next album if a previous album was sold more than 500,000 copies).”

SM filed an objection against this decision and another injunction to terminate the validity of the exclusive contract between C-JeS and JYJ. You’ll see how the court reacted on these arrogant actions below.
<December 23, 2010>
Fair Trade Commission ordered SM to correct its unfair contracts made with its artists and trainees. 
- Fans in Korea filed the petition with FTCK regarding SM’s unfair contract on Sep 09, 2009 after JYJ’s injunction.
- FTCK started investigation on SM (again!).
- SM ‘voluntarily’ corrected the conditions of contract with its artists after the investigation started, but also extended its contract with the trainees for additional 3 years in secret and FTCK warned such actions and ordered SM to correct this 3-year of extended contracts with its trainees as well.
- Ironically, the fans’ action against the slave contract made SM artists (that we hate as much as SM itself) had better contracts.

<February 17, 2011>
Seoul Central District Court ‘rejected’ the objection against the approval of the above injunction.

- Quoted from the court’s refusal letter against SM’s objection
“The court hereby confirms the injunction approved on Oct 27, 2009, to terminate the validity of exclusive contract between the two parties.” (=the injunction approval in 2009 has no problem and still valid) 
“The debtor(SM) pays all expenses for objection.”
<February 17, 2011>
Seoul Central District Court also rejected SM’s injunction to terminate the validity of the exclusive contract between C-JeS and JYJ.

“C-JeS Entertainment and the respondents(JYJ) only made a contact for agency business in order to manage their entertainment activities on behalf of them, therefore the applicant (SM)’s insist that they made an exclusive contract which has subordinative clauses is cannot be acknowledged.” 

<February 24, 2011>
Seoul Central District Court ordered indirect order to SM to pay 20 million of penalty per each interference on JYJ’s activities

“Even after the court approved the injunction to terminate the exclusive contract on Oct 27, 2011, SM Entertainment held a press conference to force the members to follow the contract on Nov 02, 2011 and sent the contents-certified mail to Warner Music Korea to ask Warner Music not to produce/distribute JYJ’s World Wide Album. Those actions are acknowledged as interference in JYJ’s entertainment activities, therefore, the court hereby orders indirect order.”
Well what’s next?
I’m sure that another case will be added to this history of losing, in the very near future. XD
Translator’s note: Definition of Article 103 in the Civil Law**:  ‘an action that violates public policies and morals is invalid’. It defines an action that violates public policies and moral as: 1) an action against justice (Ex: a contract inciting a crime with rewards), 2) an action against humanity (ex: prostitution), 3) an action extremely restricts personal liberty (ex: a contract restricts person’s psychological/physical/financial freedom too much, human traffic), 4) an action that one side forces unfairness on the other side by abusing prominent position (ex: excessive penalty for breach of contract) and etc.
(The court also used this article on the approval of the injunction applied by JYJ. )
In Korea, if something is considered as an action that the Article 103/104 in the Civil Law defines as violation of public policies and morals, it is considered as ‘absolute invalidity’ and no third party can insist on its validity any more. When the court brings up this article as the referred provision to judge the injunction of JYJ, it means that the contract between SME and the JYJ is invalid ‘unconditionally’ because it is considered an action that the Article 103 of the Civil Law defines.
